Platform Usage Rules and User Conduct Framework

1. Introduction and Purpose
These Terms of Use ("Terms of Use", "Terms", or "Agreement") establish the rules, standards, and requirements governing access to and use of the digital platform operated by Beagine ("Company", "Platform", "we", "our", or "us").
The Platform provides technology-enabled services that allow Users, customers, businesses, drivers, specialists, service providers, and other approved participants to interact, communicate, request services, provide services, complete transactions, and access digital tools made available through the Platform.
These Terms of Use are designed to ensure that all participants understand their responsibilities when accessing and interacting with the Platform. They establish acceptable behaviour standards, prohibited activities, technology usage requirements, content standards, safety expectations, and enforcement principles.
These Terms of Use apply to all persons who access or use any part of the Platform, whether or not they create an account. This includes visitors, registered Users, Providers, business accounts, representatives, and any person accessing Platform features through another authorized user.
The purpose of these Terms is to protect the reliability, security, fairness, and safety of the Platform ecosystem while ensuring that all participants can access services in a professional and respectful environment.
These Terms of Use operate together with the Company's Terms of Service Agreement, Privacy Policy, Provider Agreement, Community Standards, Payment Terms, Refund Policy, Accessibility Commitment, and other applicable Platform policies.
Where these Terms of Use conflict with the Terms of Service Agreement, the Terms of Service Agreement shall prevail regarding contractual rights, obligations, liability, and legal relationships.
By accessing, browsing, registering for, or using the Platform, you agree to comply with these Terms of Use.
2. Acceptance and Applicability of These Terms
Your use of the Platform constitutes acceptance of these Terms of Use.
Acceptance may occur through account registration, downloading the Platform application, accessing Platform features, submitting information, requesting services, providing services, communicating through Platform systems, or continuing to use the Platform after these Terms have been made available.
If you access the Platform on behalf of a company, organization, or another legal entity, you confirm that you have authority to act on behalf of that entity and that the entity agrees to comply with these Terms.
The Company may require additional acceptance of specific terms before allowing access to certain Platform features, including payment services, business accounts, professional services, subscription services, or Provider-related functions.
The Company reserves the right to update, modify, or replace these Terms of Use when necessary to reflect changes in technology, business operations, legal obligations, safety requirements, or marketplace standards.
Where significant changes are made, the Company may provide reasonable notice through available communication channels.
Continued use of the Platform after updated Terms become effective constitutes acceptance of the revised Terms of Use.
3. Definitions and Interpretation
For purposes of these Terms of Use:
"Platform" means all digital systems operated or controlled by the Company, including mobile applications, websites, software, communication systems, databases, and related technology.
"User" means any person, customer, business, organization, or entity accessing the Platform.
"Provider" means any vendor, specialist, contractor, service partner, or approved service provider using the Platform to provide services.
"Account" means a registered profile created to access Platform features.
"Content" means any information, text, images, documents, reviews, ratings, communications, or materials uploaded, submitted, transmitted, or displayed through the Platform.
"Platform Services" means all technology features, marketplace functions, communication tools, payment features, and other services provided by the Company.
"Community" means all Users, Providers, employees, partners, and other participants interacting within the Platform ecosystem.
"Unauthorized Access" means accessing accounts, systems, data, or Platform functions without permission.
The headings used in these Terms are provided for convenience and do not affect interpretation.
4. Access to the Platform
The Company grants Users a limited, personal, non-exclusive, non-transferable, and revocable permission to access and use the Platform for legitimate purposes consistent with these Terms.
Access to certain features may require account registration, identity verification, payment information, eligibility checks, or acceptance of additional agreements.
The Company may restrict access to certain services based on geographic location, regulatory requirements, service availability, account status, verification requirements, or operational considerations.
Users are responsible for ensuring that their devices, software, internet connection, and technical environment are suitable for accessing the Platform.
The Company does not guarantee that the Platform will be available in all locations or at all times.
The Company may suspend, restrict, modify, or discontinue Platform features where necessary for maintenance, security, legal compliance, improvement, or operational reasons.
Users must not attempt to access the Platform through unauthorized methods, including unauthorized software, automated systems, modified applications, bots, scraping tools, or other methods that interfere with normal Platform operations.
5. Account Usage Rules
Each User and Provider is responsible for maintaining the confidentiality and security of their account information.
Accounts must only be used by the registered account holder unless the Company has expressly approved shared or organizational account arrangements.
Users must provide accurate, complete, and current information when creating or updating accounts.
The creation of false, duplicate, misleading, or fraudulent accounts is prohibited.
Users must not create accounts for the purpose of avoiding restrictions, bypassing enforcement actions, manipulating marketplace systems, or misleading other participants.
Account holders are responsible for all activities conducted through their accounts, including activities performed by persons who obtain access due to the account holder's failure to maintain appropriate security.
Where unauthorized account activity is suspected, the account holder must immediately notify the Company.
The Company may require additional security verification before restoring access, processing transactions, or allowing continued use of Platform features.
6. User Responsibilities and Expected Conduct
Users are expected to interact with the Platform, Providers, and other participants honestly, respectfully, and responsibly.
Users must provide accurate information when requesting services, including correct locations, service requirements, contact information, and relevant instructions.
Users must not intentionally provide misleading information that could create safety risks, financial losses, operational problems, or inconvenience for Providers or the Company.
Users must treat Providers with dignity and respect. Harassment, threats, discrimination, abusive language, intimidation, or inappropriate conduct are prohibited.
Users must not request unlawful services, encourage Providers to violate laws, or attempt to use the Platform for purposes unrelated to legitimate service activities.
Users must comply with reasonable safety requirements and instructions provided by the Company or Providers.
Users are responsible for ensuring that their actions do not create unreasonable risks for themselves, Providers, or third parties.
7. Provider Conduct Standards and Platform Responsibilities
Providers using the Platform are expected to maintain professional standards, comply with applicable laws, and provide services in a manner consistent with the expectations of the Platform community.
Providers acknowledge that access to the Platform represents an opportunity to connect with Users and perform services, but it also carries responsibilities relating to safety, reliability, professionalism, and lawful conduct.
Providers must ensure that all information submitted to the Platform is accurate and current. This includes identity information, professional qualifications, service capabilities, vehicle information where applicable, licenses, permits, insurance details, payment information, and any other information required for Platform access.
Providers must not misrepresent their qualifications, experience, availability, service area, equipment, or ability to complete a requested service.
Providers must only accept service requests that they are legally, physically, and professionally capable of completing.
Providers are responsible for performing accepted services with reasonable care, competence, professionalism, and respect for Users.
Providers must comply with all applicable Ghanaian laws and regulations relevant to their activities, including transportation laws, professional licensing requirements, safety requirements, business obligations, and tax responsibilities.
Providers must not use the Platform while impaired by alcohol, illegal substances, medication that affects safe performance, or any condition that prevents them from safely completing services.
Providers must not engage in discrimination, harassment, intimidation, exploitation, abuse, or inappropriate conduct toward Users, other Providers, Company representatives, or third parties.
Providers must maintain appropriate behaviour when communicating through Platform systems or interacting physically with Users.
The Company may establish additional Provider standards, operational requirements, quality expectations, or safety rules depending on the type of service provided.
8. Acceptable Use of the Platform
The Platform must only be used for legitimate purposes consistent with these Terms of Use, the Terms of Service Agreement, applicable policies, and applicable laws.
Users and Providers may use the Platform to access, provide, communicate about, and manage authorized services made available through the Platform.
Participants may not use the Platform in a way that damages, disables, overloads, interferes with, or negatively affects the operation of the Platform or the experience of other participants.
Acceptable use requires participants to:
- use accurate information;
- maintain respectful communication;
- follow safety requirements;
- protect account security;
- respect privacy and confidentiality;
- comply with payment obligations;
- follow applicable laws;
- use Platform features only for their intended purpose.
The Company reserves the right to determine whether a particular use of the Platform is reasonable, legitimate, and consistent with these Terms.
9. Prohibited Activities and Platform Misuse
To protect the security, fairness, and reliability of the Platform, certain activities are strictly prohibited.
Users and Providers must not:
- attempt to gain unauthorized access to Platform systems, accounts, databases, software, or confidential information;
- interfere with Platform operations through malicious software, hacking attempts, automated systems, unauthorized modifications, or other technical methods;
- copy, reproduce, modify, distribute, sell, reverse engineer, or exploit Platform technology without authorization;
- use another person's account or allow another person to use their account without permission;
- create false identities or provide inaccurate registration information;
- engage in fraud, deception, manipulation, or dishonest conduct;
- circumvent Platform payment systems or intentionally avoid legitimate charges;
- manipulate ratings, reviews, feedback, rankings, or marketplace systems;
- submit false complaints or fraudulent claims;
- harass, threaten, intimidate, or abuse other Platform participants;
- discriminate against individuals based on protected characteristics;
- use the Platform to facilitate illegal activities;
- request or provide services that violate applicable laws;
- collect or misuse personal information of other participants;
- use Platform information for unauthorized marketing or commercial purposes;
- attempt to damage the reputation or operations of the Company.
The Company may take action against any account involved in prohibited activities, including removal of content, restriction of access, suspension, termination, financial recovery actions, or reporting to appropriate authorities.
10. Communication Standards
The Platform may provide communication tools that allow Users and Providers to exchange information relating to services, bookings, payments, support matters, and other Platform activities.
Participants must use these communication channels responsibly and professionally.
Communication through the Platform must not include:
- threats;
- harassment;
- hate speech;
- discriminatory statements;
- sexually inappropriate content;
- violent or abusive language;
- fraudulent instructions;
- unlawful requests;
- attempts to manipulate or exploit another participant.
Users and Providers must not use Platform communication tools to promote unrelated businesses, advertise unauthorized services, collect personal information, or establish unauthorized commercial relationships.
Participants should avoid sharing unnecessary personal information and should use Platform communication systems where possible to maintain appropriate records and safety protections.
The Company may monitor, review, or preserve communications where necessary for safety, dispute resolution, fraud prevention, legal compliance, or Platform protection, subject to applicable privacy laws.
11. Content, Ratings, Reviews, and Feedback
The Platform may allow Users and Providers to submit content, including ratings, reviews, comments, photographs, feedback, complaints, suggestions, or other materials.
Participants remain responsible for the content they submit and must ensure that such content is accurate, lawful, respectful, and appropriate.
Content submitted through the Platform must not:
- contain false or misleading statements;
- infringe intellectual property rights;
- disclose another person's private information without authorization;
- contain offensive, abusive, discriminatory, or unlawful material;
- be submitted for the purpose of manipulating Platform systems;
- include fraudulent reviews or artificially generated feedback.
Ratings and reviews are intended to improve transparency and service quality. Participants must provide honest feedback based on genuine experiences.
The Company may remove, restrict, or refuse to publish content that violates these Terms or applicable policies.
By submitting content through the Platform, you grant the Company a limited right to use, display, reproduce, and process that content for legitimate Platform purposes, including improving services, maintaining records, resolving disputes, and promoting Platform quality.
This does not transfer ownership of your content to the Company.
12. Safety, Security, and Community Protection
The Company is committed to promoting a safe and trustworthy Platform environment.
Users and Providers must contribute to maintaining safety by acting responsibly, following applicable laws, and reporting concerns promptly.
Participants must not engage in conduct that creates unnecessary risk, including unsafe driving behaviour, dangerous service practices, threats, violence, exploitation, or intentional harm.
Providers must comply with safety requirements applicable to their services, including vehicle safety standards, professional practices, equipment requirements, and legal obligations.
Users must not interfere with Provider operations, create unsafe conditions, or request services under circumstances that could reasonably place another person at risk.
The Company may introduce safety features, verification procedures, reporting tools, emergency assistance features, and monitoring systems designed to improve Platform safety.
However, Users and Providers acknowledge that the Company cannot eliminate all risks associated with real-world interactions and services.
Participants remain responsible for exercising reasonable judgment and personal safety awareness.
13. Technology Usage Rules and System Security
The Platform is built using technology systems, software applications, databases, communication tools, payment infrastructure, and digital services designed to provide reliable access to marketplace services.
Users and Providers are granted permission to use these systems only for their intended purposes and in accordance with these Terms of Use.
Participants must not attempt to interfere with, damage, disable, disrupt, or gain unauthorized access to any part of the Platform or its supporting systems.
Prohibited technology-related activities include unauthorized access attempts, introducing malicious software, distributing viruses, interfering with security features, conducting unauthorized testing, attempting to extract system information, scraping Platform data, reverse engineering software, or bypassing technical restrictions.
Users and Providers must not use automated tools, scripts, bots, artificial intelligence systems, or other technologies to interact with the Platform unless such use has been expressly authorized by the Company.
The Company may implement technical safeguards, authentication procedures, monitoring systems, access controls, and security measures to protect the Platform and its participants.
Participants must not attempt to disable, avoid, manipulate, or interfere with these security measures.
Where the Company identifies suspicious technical activity, it may restrict access, investigate the matter, preserve relevant information, and take appropriate legal or operational action.
14. Intellectual Property and Platform Materials
All rights, title, and interest in the Platform and its associated materials belong to the Company or its authorized licensors.
This includes, without limitation, software code, applications, interfaces, designs, logos, trademarks, service names, databases, operational processes, algorithms, documentation, graphics, text, business methods, and other intellectual property.
Access to the Platform does not grant Users or Providers ownership rights over any Company intellectual property.
Subject to compliance with these Terms, the Company grants Users and Providers a limited, personal, non-exclusive, non-transferable, and revocable permission to use the Platform solely for accessing legitimate Platform services.
Participants must not:
- copy Platform materials without authorization;
- modify or create derivative works from Platform technology;
- remove copyright, trademark, or ownership notices;
- sell, license, distribute, or commercially exploit Platform materials;
- use Company branding or trademarks without written permission.
Any unauthorized use of Company intellectual property may result in account restrictions, legal action, or other available remedies.
Where Users or Providers submit suggestions, feedback, improvement ideas, or recommendations relating to the Platform, the Company may use such feedback to improve operations without creating ownership obligations unless separately agreed in writing.
15. Third-Party Services and Integrations
The Platform may include connections to third-party services, systems, applications, payment providers, mapping providers, communication services, verification providers, analytics services, or other external technology partners.
These third-party services may operate under separate terms, conditions, privacy policies, and legal requirements.
The Company may rely on third-party providers to support Platform functionality but does not control all aspects of their operations.
The Company is not responsible for failures, interruptions, errors, delays, security incidents, or limitations caused by third-party services beyond its reasonable control.
Participants acknowledge that use of certain third-party services may require acceptance of additional terms.
Where third-party services collect or process information, such processing may be subject to the privacy practices and policies of those providers.
The Company does not guarantee the availability, accuracy, reliability, or performance of third-party services.
16. Fraud Prevention and Platform Integrity
Maintaining trust within the Platform requires active prevention of fraud, manipulation, and abuse. Users and Providers must not engage in activities intended to obtain unauthorized benefits, avoid legitimate obligations, or interfere with marketplace fairness.
Fraudulent activity includes, but is not limited to:
- creating false accounts;
- using another person's identity;
- submitting false information;
- manipulating service requests;
- generating fake transactions;
- abusing promotions or incentives;
- submitting dishonest reviews;
- attempting unauthorized payment reversals;
- misusing referral systems;
- interfering with Platform pricing or matching systems.
The Company may use automated systems, manual reviews, transaction analysis, account monitoring, verification procedures, and other methods to detect potential fraud. Where suspicious activity is identified, the Company may delay transactions, request additional verification, restrict account functions, suspend access, or terminate accounts. The Company may cooperate with financial institutions, payment providers, regulators, and law enforcement authorities where required.
Participants agree to cooperate with reasonable investigations relating to fraud, security incidents, disputes, or misuse of the Platform.
17. Monitoring, Investigation, and Enforcement Rights
The Company has the right to monitor Platform activity to maintain safety, security, reliability, and compliance.
Monitoring may include reviewing account activity, transaction information, communications, reports, ratings, complaints, technical information, and other relevant data, subject to applicable privacy laws.
Monitoring activities may be conducted for purposes including:
- preventing fraud;
- protecting Users and Providers;
- investigating complaints;
- improving Platform performance;
- maintaining legal compliance;
- enforcing Platform rules.
The Company does not have an obligation to monitor every activity or identify every violation. Where violations are identified, the Company may take actions considered appropriate, including:
- issuing warnings;
- removing content;
- restricting certain features;
- requiring additional verification;
- suspending accounts;
- terminating accounts;
- withholding access to specific services;
- recovering losses;
- reporting matters to authorities.
The Company's enforcement decisions are intended to protect the Platform community and do not create an obligation to provide continued access to any individual participant.
18. Reporting Violations and Safety Concerns
Users and Providers are encouraged to report suspected violations, safety concerns, fraud, abuse, illegal activity, security issues, or misconduct through official Platform reporting channels.
Reports should contain accurate information and sufficient details to allow appropriate review.
The Company may investigate reports using available information and may request additional information from the reporting person or other involved parties.
Submitting intentionally false reports, misleading complaints, or abusive claims may itself constitute a violation of these Terms.
The Company may protect the confidentiality of reports where appropriate, although complete confidentiality cannot always be guaranteed where disclosure is required by law or necessary for investigation.
Participants must cooperate with reasonable requests for information during investigations.
19. Legal Compliance Requirements
All participants using the Platform must comply with applicable laws and regulations of the Republic of Ghana and any other jurisdiction relevant to their activities.
Users and Providers are responsible for understanding and complying with legal requirements applicable to them.
This includes, where relevant:
- business registration requirements;
- professional licensing obligations;
- transportation and road safety regulations;
- tax obligations;
- consumer protection requirements;
- data protection obligations;
- cybersecurity requirements;
- financial transaction rules;
- public safety obligations.
The Company may update Platform requirements where legal or regulatory changes require adjustments.
Nothing in these Terms authorizes any participant to conduct activities that violate applicable law.
20. Amendments and Updates to Terms of Use
The Company may revise these Terms of Use periodically to reflect changes in operations, technology, legal requirements, safety practices, or Platform standards.
Updated Terms may be communicated through the Platform, email, application notifications, or other appropriate channels. The revised Terms become effective once published unless a different effective date is stated.
Continued access or use of the Platform after changes become effective indicates acceptance of the updated Terms.
If a participant does not agree with updated Terms, they must stop using the Platform.
21. Governing Law and Jurisdiction
These Terms of Use are governed by and interpreted according to the laws of the Republic of Ghana.
Participants agree that disputes arising from these Terms or Platform usage shall be handled in accordance with applicable Ghanaian legal procedures.
The courts of competent jurisdiction in Ghana shall have authority over matters arising from these Terms, subject to any alternative dispute resolution procedures agreed separately.
22. Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions shall continue to remain valid. The invalid provision shall be interpreted or modified to the extent necessary to make it enforceable while preserving the original intent as much as legally possible.
23. Entire Agreement
These Terms of Use represent the complete framework governing acceptable access and usage of the Platform.
They operate together with the Terms of Service Agreement, Privacy Policy, Provider Agreement, Community Standards, Payment Terms, Refund Policy, and other applicable Platform documents.
Together, these documents establish the complete legal and operational framework governing participation in the Platform ecosystem.
24. Final Acceptance
By accessing or using the Platform, you confirm that you understand and agree to:
- use the Platform responsibly;
- follow all applicable laws;
- respect other participants;
- protect account security;
- comply with Platform rules and policies;
- accept enforcement measures where violations occur.
Failure to comply with these Terms may result in restriction, suspension, termination, or other appropriate action.
